We provide listing services, communication tools, and related features to facilitate business transactions. We do not act as a broker, agent, or intermediary in any transaction between users.

3. User Registration and Accounts

3.1 Account Creation

Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Types

• Basic Buyer Account: Free registration requiring email and first name
• Seller Account: Requires full registration and payment for listing services
• Broker Account: Professional intermediary accounts with enhanced features

3.3 Account Restrictions

Each user may maintain only one account. Account sharing, transfer, or sale is strictly prohibited without our written consent.

4. Listing Services and Fees

4.1 Listing Types

• Individual Listings: Single business listings with 3-month or 6-month initial terms
• Broker Subscriptions: Monthly, quarterly, or annual plans for multiple listings
• Premium Features: Enhanced visibility options and featured placements

4.2 Payment Terms

All fees are due in advance and non-refundable unless otherwise stated. We accept major credit cards and electronic payment methods. Prices are subject to change with 30 days notice.

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled at least 10 business days before the renewal date. You may cancel through your account dashboard or by contacting support.

5. User Conduct and Responsibilities

5.1 Prohibited Activities

Users shall not:

• Post false, misleading, or fraudulent information
• Impersonate others or misrepresent affiliations
• Engage in spam, harassment, or abusive behavior
• Attempt to circumvent platform fees or security measures
• Use automated systems to scrape or access the Platform
• Post content that infringes intellectual property rights
• List illegal businesses or engage in unlawful activities

5.2 Listing Standards

All listings must be for legitimate, legal businesses with accurate information. Established businesses must have operated continuously for at least one year and provide verifiable financial data.

6. Intellectual Property Rights

6.1 Platform Content

All Platform content, features, and functionality are owned by BrokerBusinessListings.com and protected by intellectual property laws. Users may not reproduce, distribute, or create derivative works without permission.

6.2 User Content License

By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Platform's operation and marketing.

7. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, which is incorporated by reference. We implement industry-standard security measures to protect user data.

8. Communication Guidelines

8.1 Platform Communications

We may communicate with users via email regarding account activity, system updates, and service announcements. Marketing communications are subject to opt-out preferences.

8.2 User-to-User Communications

Users must maintain professional conduct in all communications. We reserve the right to monitor communications for security and quality purposes.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BrokerBusinessListings.com, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

12. Dispute Resolution

These Terms are governed by the laws of Tennessee, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Tennessee.

13. Account Termination

We reserve the right to suspend or terminate accounts for Terms violations, extended inactivity, or at our discretion. Users may close their accounts at any time through account settings.

14. Modifications to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or Platform announcement.

15. Severability

If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and BrokerBusinessListings.com regarding Platform use.
